Terms of Use

Last updated: May 25, 2026

1. Acceptance of Terms

These Terms of Use ("Terms") form a binding agreement between you and Mira Insight, Inc. ("Custard," "we," "us") governing your access to and use of the Custard customer discovery research platform, websites, APIs, mobile and desktop applications, and any related services (collectively, the "Service"). By creating an account, accessing, or using the Service you agree to these Terms and to our Privacy Policy. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes the organization.

2. Definitions

  • Customer Data means content you upload, generate, or transmit through the Service, including projects, hypotheses, transcripts, recordings, prospect lists, drafts, and AI outputs derived from such content.
  • Integration means a third-party service you connect to the Service, including Google, Microsoft, Zoom, Postmark, and our data and AI providers.
  • End User means anyone you invite to your workspace, including teammates and collaborators.
  • Recipient means a person who receives outreach you send through the Service.

3. Description of the Service

Custard provides tools to plan customer discovery research, draft and send outreach, schedule and conduct interviews, capture transcripts and recordings, synthesize insights with AI, and produce deliverables for technology commercialization. Specific features may change or be added over time.

4. Accounts and Eligibility

  • You must be at least 16 years old to use the Service.
  • You must provide accurate information and keep it current.
  • You are responsible for safeguarding your credentials and for any activity under your account, including the actions of End Users.
  • You must notify us promptly at security@mira-insight.com if you suspect unauthorized access.

5. Plans, Trials, and Fees

Paid plans, trials, and any usage-based fees are described at checkout or in your order form. Fees are non-refundable except as required by law. We may change pricing or plan terms with at least thirty (30) days' notice for renewing customers. Taxes are your responsibility unless we are legally required to collect them.

6. Acceptable Use

You agree not to, and not to permit any End User to:

  • Use the Service in violation of any applicable law, including anti-spam, telemarketing, wiretap, recording, export-control, and data-protection laws.
  • Send unsolicited bulk email, send to harvested addresses, or fail to honor opt-out requests.
  • Send abusive, harassing, defamatory, deceptive, or unlawful messages.
  • Impersonate any person or entity, or misrepresent your affiliation.
  • Record any interview without all consents required by applicable law from every participant.
  • Upload content that infringes intellectual property or privacy rights of any third party.
  • Reverse engineer, decompile, scrape, or attempt to extract source code from the Service except to the extent expressly permitted by law.
  • Probe, scan, or test the vulnerability of the Service without our written authorization.
  • Use the Service to build a competing product, or use it to train any machine-learning model that competes with us.
  • Send content to or generate content involving children under 16.
  • Use the Service for political campaigning, deceptive practices, adult content, gambling, or any high-risk activity prohibited by our integration partners' acceptable-use policies.

We may suspend or remove any content or account that we reasonably believe violates these Terms or presents a security, legal, or operational risk to the Service or to other users.

7. Ownership of Customer Data

As between you and us, you own and retain all right, title, and interest in and to Customer Data. This includes, without limitation, the research material you upload (such as documents, interview transcripts, recordings, hypotheses, and prospect records) as well as the insights, analyses, scores, syntheses, simulations, and other outputs the Service generates from your Customer Data. Custard claims no ownership of, and acquires no rights in, your Customer Data or the insights and simulations generated from it, other than the limited license described in this Section.

You grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, process, and create derivative works of Customer Data solely to provide, secure, and improve the Service for you, to enable Integrations you have configured, and to comply with law. We will not use Customer Data for marketing, sell it, or use it to train, fine-tune, or improve generalized AI or machine-learning models. This license is limited to operating the Service for you and terminates when the relevant Customer Data is deleted or your account is closed, except as needed for routine backup retention described in our Privacy Policy.

8. AI Features and Outputs

The Service uses third-party large language models to produce AI Outputs such as summaries, drafts, scores, and synthesis. As between you and us, you own AI Outputs generated from your Customer Data, subject to the underlying model providers' terms. AI Outputs may be inaccurate, incomplete, or biased; you are solely responsible for reviewing them before relying on them or sharing them with third parties. The Service is not intended to provide legal, medical, financial, or other professional advice.

Platform AI features run on Amazon Bedrock through a zero-retention endpoint. If you configure a bring-your-own AI provider in your account settings, you are solely responsible for the Customer Data you send to that provider, and its handling is governed by your agreement with that provider. Our no-retention, no-training, and no-sale commitments apply to the platform default only and do not extend to providers you bring yourself.

9. Integrations

If you connect an Integration, you authorize us to access and exchange data with that Integration on your behalf using the scopes you grant. Your use of an Integration is also subject to that provider's terms and privacy policy, including:

  • Google: Custard's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. See Privacy Policy Section 6.
  • Microsoft: subject to your Microsoft account and tenant terms, including the Microsoft Services Agreement and any applicable Microsoft 365 administrator policies.
  • Zoom: subject to Zoom's Terms of Service and Acceptable Use Policy. You are responsible for ensuring your Zoom account permits third-party meeting creation.

We are not responsible for Integrations themselves or for any change, suspension, or discontinuation of an Integration by its provider. You may disconnect any Integration at any time from Settings.

10. Outreach Compliance

You are the sender of any outreach email sent through the Service. You represent and warrant that:

  • You have a lawful basis to contact each Recipient and to process their personal data.
  • Every message complies with applicable laws including CAN-SPAM (US), CASL (Canada), the UK PECR, the EU ePrivacy Directive, and the GDPR.
  • Each message identifies you accurately and includes a working unsubscribe or opt-out mechanism where required.
  • You honor opt-out, deletion, and access requests promptly.

We may rate-limit, suspend, or terminate sending if we reasonably believe these obligations are not being met or if our deliverability infrastructure is at risk.

11. Recording and Consent

Many jurisdictions require all parties to a conversation to consent before it can be recorded. You are solely responsible for obtaining all required consents from participants before recording, uploading, or transcribing an interview through the Service or through any connected meeting platform such as Zoom, Google Meet, or Microsoft Teams.

12. Confidentiality

Each party will protect the other party's non-public information disclosed under these Terms with at least the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care, and will use it only as needed to perform under these Terms. Customer Data is your confidential information.

13. Intellectual Property

The Service, including all software, designs, text, graphics, and the Custard and Mira Insight names and marks, is owned by Mira Insight, Inc. and protected by intellectual property laws. Except for the limited rights expressly granted to you, we and our licensors reserve all rights, title, and interest in and to the Service.

14. Feedback

If you provide us suggestions or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or obligation.

15. Suspension and Termination

You may close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if your use of the Service creates an undue security or operational risk. On termination, your right to use the Service ends. We will make Customer Data available for export for thirty (30) days after termination, after which we will delete it in accordance with our Privacy Policy, except where retention is required by law.

16. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIRA INSIGHT DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, AND STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUTS WILL BE ACCURATE OR FIT FOR ANY PARTICULAR USE.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EACH PARTY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS. THESE LIMITATIONS APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

18. Indemnification

You will defend, indemnify, and hold harmless Mira Insight, its affiliates, and their respective officers, directors, employees, and agents from and against any third-party claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your Customer Data, (b) your use of the Service in breach of these Terms or applicable law, (c) any outreach you send through the Service, including claims by Recipients, and (d) your violation of any third party's rights, including any Integration provider's terms.

19. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware for any dispute that is not subject to arbitration. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

For US-based individual users, any dispute that cannot be resolved informally will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules in Wilmington, Delaware, in English. You and we each waive any right to a jury trial and to participate in a class action. You may opt out of arbitration within thirty (30) days of accepting these Terms by emailing legal@mira-insight.com with the subject "Arbitration Opt-Out."

20. Changes to the Terms

We may update these Terms from time to time. If a change is material, we will give you at least thirty (30) days' notice by email or in-product notice before it takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

21. Miscellaneous

  • Entire agreement. These Terms, the Privacy Policy, and any order form or Data Processing Addendum we sign with you constitute the entire agreement between the parties on this subject.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Severability. If any provision is held unenforceable, the remainder will remain in effect.
  • Waiver. Failure to enforce any right is not a waiver of that right.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
  • Notices. Legal notices to us must be sent to legal@mira-insight.com.
